Terms of Service

1. Agreement
These Terms of Service (“Terms”) govern access to and use of EmberLeads websites, member portals, mobile experiences, and related services (collectively, the “Service”) operated by Embarc / EmberLeads (“Ember,” “we,” “us”). By creating an account, joining a leads group, or otherwise using the Service, you agree to these Terms.
2. The Service
EmberLeads helps business networking groups manage membership, referrals (“leads”), meetings, events, and related collaboration tools. Features may vary by plan, group, and rollout stage. We may change, suspend, or discontinue parts of the Service with reasonable notice when practicable.
3. Accounts & eligibility
You must provide accurate registration information and keep your credentials confidential. You are responsible for activity under your account. Group administrators may invite, suspend, or remove members according to their group rules. You must be legally able to enter a binding contract in your jurisdiction.
4. Acceptable use
You agree not to misuse the Service, including by: sharing content you do not have rights to share; harassing others; attempting unauthorized access; scraping or reverse engineering beyond permitted APIs; uploading malware; or using the Service for unlawful spam or deceptive practices. We may investigate and take action, including suspension or termination, for violations.
5. Member content & leads
You retain rights to content you submit (profile details, leads, messages, files). You grant Ember a limited license to host, process, display, and transmit that content as needed to operate the Service for your groups. Lead and referral data is shared within your group (and with intended recipients) as designed by the product; treat it with professional care and comply with applicable laws.
6. Fees, billing & refunds
Platform subscription fees (Spark, Ember, Inferno, or other plans we offer), Lifetime licenses, group dues collected through the Service, or other charges may apply as disclosed at checkout or by your group administrator. Payment processors (including Stripe) and billing partners may have separate terms. Unpaid amounts may result in limited access.
Subscriptions are non-refundable. Except where required by law, all Ember platform subscription fees and Lifetime license purchases are final once charged. We do not provide cash refunds or credits for partial billing periods, unused seats, unused features, downgrades, cancellations, or dissatisfaction after a charge has been processed.
Plan changes. If you upgrade or downgrade an active subscription mid-cycle, we use our payment processor’s standard proration: unused time on the prior plan may be credited toward the new plan, and additional amounts for an upgrade may be charged or added to your next invoice. Proration is an accounting adjustment on your subscription—not a refund of amounts already paid. Downgrading does not entitle you to a cash refund of prepaid fees.
Cancellation. You may cancel a subscription at any time. Cancellation stops future renewals; you generally keep access through the end of the then-current paid period (or trial window, if still in a free trial without a charge). Canceling does not reverse charges already made.
Free trials do not require a card unless you choose to add one. If you convert from a trial to a paid plan, the then-current fees apply as shown at checkout.
7. Privacy & SMS
Our collection and use of personal information is described in the Privacy Policy, including our text messaging (SMS) section. Essential account and group notices may be delivered by email or in the portal. SMS is optional and is not required to create an account, accept an invite, or use the Service.
Consent to receive Service-related text messages is collected only through a separate, unchecked-by-default SMS opt-in (for example on our SMS opt-in page, during account creation, or in profile notification settings). Agreeing to these Terms alone does not enroll you in SMS. Message frequency varies. Message and data rates may apply. Reply STOP to opt out or HELP for assistance.
8. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBER DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee uninterrupted availability, specific referral outcomes, or that third-party integrations will remain available.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EMBER AND ITS AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO EMBER FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF GREATER AND NO FEES WERE PAID).
10. Termination
You may stop using the Service and request account deletion through account settings where available. We may suspend or terminate access for breach, risk, or inactivity. Provisions that by nature should survive (including IP, disclaimers, and liability limits) will survive termination.
11. Changes
We may update these Terms. Material changes will be posted on this page with an updated date. Continued use after the effective date constitutes acceptance of the revised Terms where permitted by law.
